General Terms and Conditions of Sale

These General Conditions of Sale govern the sale of products and services by Analytica Space S.C. and its affiliates (collectively, “Analytica Space”) to customer. Additional terms may apply for services provided by Analytica Space (for example, the Odoo S.A. Enterprise Subscription Agreement). If these additional terms are incompatible with the General Conditions of Sale, the additional terms will prevail over these General Conditions of Sale.

Please read these terms carefully before placing an order with Analytica Space. By accepting an order with Analytica Space, the customer marks his or her acceptance of these terms.

1. The customer explicitly waives its own standard terms and conditions, even if they were drafted after these standard terms and conditions of sale. To be valid, any exception must be expressly agreed in writing.
   
   
2. Our invoices are payable within 21 business days, unless another payment term is indicated on the invoice or order. In the event of non-payment on the due date, Analytica Space reserves the right to request a fixed interest payment amounting to 15% of the remaining amount due. Analytica Space will be authorized to suspend any provision of services without prior notice in the event of late payment. 
   
   
3. If a payment is still outstanding more than sixty (60) days after the due date, Analytica Space reserves the right to use the services of a debt recovery company. All legal expenses will be borne by the client.
   
   
4. Certain countries apply withholding tax on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances will Analytica Space be involved in costs related to a country's legislation. The invoice amount will therefore be owed to Analytica Space in full and does not include any costs related to the legislation of the country in which the client is located.
   
   
5. For customers with a global presence, the applicable price is always based on the location of the customer with the highest price list, unless otherwise specified in writing at the time of purchase.
   
   
6. Monthly subscriptions are only available for hosting on cloud platforms (Odoo SaaS, Odoo SH, AWS, Google Cloud, Microsoft Azure, among others). Payment for monthly subscriptions can only be made by credit card or equivalent supported automatic debit method. Analytica Space reserves the right to reject any Monthly Subscription that does not comply with these conditions.
   
   
7. Analytica Space undertakes to do everything possible to provide the services in a timely manner in accordance with the agreed deadlines. However, none of its obligations can be considered as an obligation to achieve results. Analytica Space cannot, under any circumstances, be required by the client to appear as a third party in the context of any claim for damages brought against the client by an end consumer.
   
   
8. To be admissible, any claim must be notified to Analytica Space by letter sent by certified mail to its tax address within 8 days of delivery of the goods or provision of services. 
   
   
9. To the maximum extent permitted by law, the aggregate liability of each party together with its affiliates arising will not exceed 50% of the total amount paid by the Client under these terms during the 12 months immediately preceding the date of the event giving rise to to said claim. Multiple claims will not expand this limitation. 
   
   
10. Analytica Space reserves the right to modify these terms at any time without prior notice. The client will be subject to the terms in force at the time of acceptance of said terms.
    
    
11. All our contractual relationships will be governed exclusively by Mexican law. Furthermore, any controversy that may arise will be submitted exclusively to the jurisdiction of the commercial court of Tlanepantla, with residence in Naucalpan in the state of Mexico, Mexico.
